These Terms of Service ("Terms") govern your use of Penni ("Service"), operated by Penni ("we", "us", or "our") at penni.so. By using Penni, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of Service

Penni is an AI-powered bookkeeping and financial operations service for small businesses. It connects to your accounting platform and Gmail to automate expense categorization, invoice tracking, cash flow monitoring, and tax deadline reminders. Today Penni integrates with QuickBooks Online; additional accounting platforms are in development.

You must be at least 18 years old and have authority to bind the business entity you represent. By using Penni, you confirm that you meet these requirements.

Penni integrates with QuickBooks Online, Gmail, and Telegram. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for changes to third-party APIs that affect Penni's functionality.

By connecting your accounts, you authorize Penni to access and act on your behalf within the permissions you grant. You can revoke this access at any time.

Penni automates bookkeeping tasks but is not a licensed accountant, financial advisor, or tax professional. Nothing in the Service constitutes financial, tax, or legal advice. Always consult a qualified CPA or advisor for tax interpretation and financial decisions.

You are responsible for the accuracy of your books and the completeness of your tax filings. Penni is a tool — final review and responsibility rest with you.

8. Data & Privacy

Our collection and use of your data is described in our Privacy Policy, which is incorporated into these Terms by reference.

9. Intellectual Property

The Penni name, logo, website, and underlying technology are our intellectual property. Your data remains yours. We claim no ownership over your financial records, business information, or content.

10. Disclaimers

The Service is provided "as is" and "as available." We do not warrant that Penni will be error-free, uninterrupted, or produce perfectly categorized books. AI-assisted bookkeeping is subject to errors — you should review categorizations periodically.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

11. Limitation of Liability

To the maximum extent permitted by law, Penni's total liability to you for any claims arising from use of the Service will not exceed the amount you paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold Penni harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

Either party may terminate the relationship at any time. We may suspend or terminate your access if you violate these Terms or engage in conduct harmful to us or other users. Upon termination, your access ends and we will handle your data per our Privacy Policy.

14. Changes to Terms

We may update these Terms as the Service evolves. We'll notify active users of material changes via Telegram or email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Florida.
